1. Acceptance of Terms

By accessing and using Synthara's website, services, and engaging in any projects with us, you ("User" or "Client") agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our services. These terms constitute a legally binding agreement between you and Synthara Limited.

2. Service Description

Synthara provides artificial intelligence consulting and development services, including:

• Computer vision solutions development
• Natural language processing services (English and Chinese)
• AI integration advisory and assessment
• Model training, evaluation, and deployment support
• Ongoing support and model retraining packages

Services are provided in accordance with engagement agreements and scoping documents agreed upon by both parties.

3. Eligibility

You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using our services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these terms.

4. Engagement and Pricing

Pricing: Services are offered at fixed prices as outlined on our website or in engagement proposals:

• Computer Vision Solutions: HKD 11,200
• Natural Language Processing: HKD 8,900
• AI Integration Advisory: HKD 6,500

Payment Terms: Payment is due as specified in the engagement agreement or invoice. Late payments may result in suspension of services.

Timelines: Project timelines are estimated and communicated in writing. Timelines assume regular client availability and feedback. Delays caused by client factors may extend timelines.

5. User Responsibilities

As a user of our services, you agree to:

• Provide accurate, complete, and current information
• Provide necessary data and resources for project completion
• Maintain confidentiality of project details and deliverables
• Ensure your use complies with all applicable laws and regulations
• Not engage in any unlawful or fraudulent activity
• Not reverse-engineer, decompile, or attempt to derive underlying technology
• Not use services for purposes that could harm individuals or organisations

6. Intellectual Property Rights

Synthara's IP: We retain all intellectual property rights to our methodologies, tools, frameworks, and general processes.

Deliverables: Upon project completion and payment, you receive a non-exclusive, non-transferable license to use deliverables (trained models, code, documentation) for your own business purposes. You may not sublicense, resell, or distribute deliverables without written consent.

Your Data: You retain all rights to your datasets and project-specific data. We use your data only for the stated project scope and as permitted by your engagement agreement.

7. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information shared during the engagement, including project details, methodologies, data, and communication. Confidentiality obligations persist for 3 years after project completion, except where disclosure is required by law.

8. Data Protection

Synthara processes all client data in accordance with the Hong Kong Personal Data (Privacy) Ordinance (PDPO) and GDPR (where applicable). We implement industry-standard security measures to protect your data. You remain the data controller; we act as a data processor.

9. Limitations of Liability

No Guarantees: While we strive to deliver quality services, we do not guarantee specific results. AI models have limitations and may not achieve 100% accuracy in all scenarios.

Liability Cap: Synthara's total liability for any claim arising from these terms shall not exceed the amount you paid for the services in question, or HKD 10,000, whichever is greater.

10. Disclaimers

Services Provided "As Is": Our services and website are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.

No Professional Advice: Our services do not constitute legal, financial, or business advice. You should consult with appropriate professionals before making decisions based on our deliverables.

11. Termination

Termination by Client: You may terminate an engagement with 30 days written notice. Termination fees apply based on work completed to date.

Termination by Synthara: We may terminate if you breach these terms or fail to pay fees. We will provide written notice and an opportunity to remedy the breach.

12. Dispute Resolution

Governing Law: These terms are governed by the laws of Hong Kong.

Informal Resolution: Before initiating formal proceedings, the parties agree to attempt to resolve disputes informally through good faith negotiation.

Jurisdiction: Any legal action shall be brought in the courts of Hong Kong.

13. Indemnification

You agree to indemnify and hold harmless Synthara, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, breach of these terms, or violation of any law.

14. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or posted prominently on our website. Continued use of services constitutes acceptance of updated terms.

15. Severability

If any provision of these terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
